ARGs Desktop Software Agreement

This software agreement (“Agreement”) is between you (“User”) and the Environmental Microbiome Engineering and Biotechnology Lab, Department of Civil Engineering, The University of Hong Kong (“Lab”). By downloading, installing, or using ARGs Desktop (“Software”), you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms and conditions of this Agreement, do not download, install, or use the Software.

License Grant

Subject to the terms and conditions of this Agreement, Lab grants User a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software for non-commercial purposes only. The Software is a product of Lab. User may not use the Software for any commercial purposes, such as selling, renting, leasing, or licensing the Software or any output generated by the Software.

Restrictions

User may not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software or any part thereof. User may not remove, alter, or obscure any copyright notices or other proprietary notices on the Software.

Citation

If User uses the Software or any output generated by the Software in any academic publication or presentation, User must cite the Software as follows:

Disclaimer of Warranty

The Software is provided “as is” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Lab does not warrant that the Software will meet User’s requirements, that the Software will be error-free or bug-free, or that the results obtained from the use of the Software will be accurate or reliable.

Limitation of Liability

In no event shall Lab be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of or inability to use the Software, even if Lab has been advised of the possibility of such damages. In any case, Lab’s total liability under this Agreement shall not exceed the amount paid by User for the Software.

Termination

This Agreement will terminate automatically without notice from Lab if User fails to comply with any term or condition of this Agreement. Upon termination of this Agreement, User must cease all use of the Software and delete all copies of the Software from User’s devices. If Lab discovers that User has not stopped using the Software, Lab will further issue a notice and seek compensation for any damages caused by User’s breach of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Hong Kong Special Administrative Region.

Entire Agreement

This Agreement constitutes the entire agreement between User and Lab regarding the use of the Software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between User and Lab. No amendment or modification of this Agreement will be binding unless in writing and signed by Lab.
